Terms of Service

These Terms of Service ("Terms") govern your access to and use of TradeCertify (the "Service"), operated by Latom Developments Inc. ("Company," "we," "us," or "our"), located at 10508 107 Ave NW, Edmonton, Alberta, Canada. By creating an account or using the Service, you ("User," "you," or "your") agree to be bound by these Terms.

1. Description of Service

TradeCertify is a software tool that allows businesses to upload, organize, and track compliance-related documents (including but not limited to licenses, insurance certificates, and workers' compensation clearance letters), receive automated reminders regarding upcoming expiry dates, and generate shareable links displaying compliance status information.

The Service is an organizational tool only. It does not constitute legal, insurance, compliance, or professional advice, and it is not a substitute for your own independent recordkeeping, professional advice, or direct confirmation with the relevant licensing body, insurer, or government authority.

2. No Guarantee of Accuracy

The Service uses artificial intelligence to extract information (including issuer names, document types, and expiry dates) from uploaded documents. While we strive for accuracy, AI-based extraction may contain errors, omissions, or misreadings. You are solely responsible for reviewing and verifying all extracted information against the original source document before relying on it for any business, legal, or financial decision.

3. No Guarantee of Notifications or Reminders

The Service may send email or other notifications as a courtesy to help you track upcoming expiry dates. You acknowledge and agree that:

(a) delivery of any reminder is not guaranteed, and may fail or be delayed due to spam filtering, email service outages, incorrect contact information on file, technical errors, or factors outside our control;

(b) the Company makes no warranty, express or implied, that you will receive any reminder before a document expires;

(c) you remain solely and fully responsible for independently tracking, renewing, and maintaining your own licenses, insurance policies, certifications, and any other compliance obligations, regardless of whether you use the Service;

(d) the Company shall have no liability whatsoever for any consequence arising from a lapsed license, expired insurance policy, expired certification, missed renewal, or any related compliance failure, including but not limited to lost business, lost contracts, stopped work, fines, penalties, or any other direct or indirect harm, whether or not the Service failed to send, or you failed to receive, a reminder.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST BUSINESS, LOST CONTRACTS OR BIDS, LAPSED INSURANCE COVERAGE, EXPIRED LICENSES OR CERTIFICATIONS, REGULATORY PENALTIES, OR ANY DAMAGE ARISING FROM RELIANCE ON INFORMATION DISPLAYED IN OR GENERATED BY THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;

(b) THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

Nothing in these Terms is intended to limit liability in circumstances where such limitation is not permitted under applicable law.

7. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) the accuracy or content of any document you upload; or (d) any compliance failure, lapsed insurance, expired license, or similar matter related to your business, regardless of whether the Service was used.

8. Public Packet Pages

The Service allows you to generate a shareable public link ("Packet Page") displaying selected compliance status information and, at your option, business contact details. You control what information is included on your Packet Page and with whom you share the link. The Company is not responsible for any use a third party makes of information displayed on a Packet Page you choose to share, nor for any consequence arising from inaccurate information you have not corrected prior to sharing.

9. Third-Party Services

The Service relies on third-party providers, including but not limited to Anthropic (AI document processing), Supabase (hosting and data storage), Stripe (payment processing), and Resend (email delivery). The Company is not liable for outages, errors, or failures originating from these third-party services.

10. Subscription, Billing, and Cancellation

Subscriptions are billed in advance on a recurring basis through Stripe. You may cancel your subscription at any time, effective at the end of the current billing period. Fees already paid are non-refundable except where required by law.

11. Account Termination

We may suspend or terminate your account for breach of these Terms, non-payment, or any unlawful use of the Service. You may terminate your account at any time by contacting us.

12. Intellectual Property

The Company retains all rights to the Service, including its software, design, and branding. You retain ownership of the documents and data you upload.

13. Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Alberta.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
